Paragon Free Stock Promotion

Full Terms and Conditions

1. The Promotion

These terms and conditions apply to the Paragon Free Stock Promotion (the “Promotion”) operated by Paragon.

The Promotion is available to eligible restaurants subject to these terms and conditions.

The Promotion allows an eligible restaurant to earn up to two free weeks of Paragon branded burger stock by purchasing Paragon branded burgers for two consecutive qualifying calendar months.

2. Eligibility

The Promotion is available to eligible restaurant premises purchasing Paragon branded burgers through an authorised Paragon distributor.

Each restaurant premises is treated separately for the purposes of the Promotion.

The Promotion is limited to a maximum of two consecutive qualifying calendar months per restaurant premises.

Participation is subject to verification by Paragon. Submission of invoices or proof of purchase does not automatically create an entitlement to free stock.

3. Establishing Normal Average Weekly Usage

Before a restaurant can participate, it must provide invoices or other satisfactory documentary evidence showing its burger purchases during the four consecutive weeks preceding the start of its participation in the Promotion.

This information will be used to establish the restaurant's normal average weekly burger usage.

Where the restaurant has historically purchased burgers from another brand, invoices showing purchases of that brand may be accepted as evidence of its existing burger usage.

Paragon will assess the information provided and determine the restaurant's verified normal average weekly usage.

4. Qualifying Month One

To qualify for the first free week of stock, the restaurant must purchase Paragon branded burgers throughout one consecutive calendar month following verification of its normal average weekly usage.

The restaurant must provide satisfactory proof of purchase from an authorised Paragon distributor.

Once the qualifying month has been completed and the purchases have been verified, the restaurant will be entitled to one free week of Paragon branded burger stock.

5. Qualifying Month Two

To qualify for a second free week of stock, the restaurant must continue to purchase Paragon branded burgers throughout the immediately following consecutive calendar month.

The second qualifying month must immediately follow the first qualifying month.

If the restaurant does not continue purchasing Paragon branded burgers during the second consecutive qualifying month, it will not qualify for the second free week of stock.

The Promotion does not permit a restaurant to pause its participation and subsequently resume it in order to claim the second free week.

The Promotion is limited to a maximum of two qualifying consecutive calendar months and two free weeks of stock per restaurant premises.

6. Verification of Normal Usage

Free stock will be based on the restaurant's verified normal average weekly burger usage, rather than simply the highest quantity purchased during the qualifying period.

Paragon may take into account the restaurant's purchasing history, the frequency and consistency of purchases, the size and nature of the restaurant's operation and any other information reasonably available to it when determining normal usage.

Where Paragon reasonably considers that purchases have been unusually increased, brought forward or otherwise manipulated for the purpose of increasing the free stock entitlement, Paragon may adjust the verified normal average weekly usage or reject the claim.

Paragon may request additional invoices, purchasing records or other reasonable evidence where necessary to verify usage.

7. Free Stock Entitlement

Each qualifying month earns one free week of stock.

The quantity of free stock supplied for each qualifying month will be based on the restaurant's verified normal average weekly burger usage.

Free stock will be supplied on a like-for-like product basis, wherever reasonably practicable.

For example, if a restaurant's verified normal average weekly usage is five cases of a particular burger product, the free stock entitlement will be based on five cases of the corresponding Paragon branded product, subject to the maximum value set out below.

8. Maximum Free Stock Value

A maximum of £500 of free stock may be claimed by each restaurant premises during its participation in the Promotion.

The £500 maximum applies to the combined value of all free stock supplied under the Promotion and therefore applies across both qualifying months.

The £500 maximum is a maximum entitlement and does not mean that every restaurant will receive £500 of free stock.

Paragon's applicable case value will be used when calculating the value of free stock for the purposes of this maximum.

Where an average case value of £30 is used for promotional calculations, this will be the reference case value unless otherwise specified by Paragon.

9. Proof of Purchase

Proof of purchase of Paragon branded burgers from an authorised Paragon distributor is required to qualify for free stock.

Invoices or other proof of purchase must be genuine, legible and capable of being verified by Paragon.

Paragon may reject documentation that is incomplete, duplicated, altered, misleading or otherwise unsuitable for verification.

The same invoice or purchase documentation may not be used to support more than one claim or restaurant premises.

10. Artificial or Abnormal Purchasing

The Promotion is intended to reward restaurants based on their genuine and normal burger usage.

Restaurants must not deliberately increase, bring forward or otherwise manipulate purchases for the primary purpose of increasing their free stock entitlement.

Where Paragon reasonably believes that purchasing has been artificially increased or manipulated, Paragon may:

  • request additional evidence;

  • use an alternative reasonable assessment of normal usage;

  • reduce the free stock entitlement; or

  • reject the claim.

Paragon will make any such determination reasonably and based on the information available to it.

11. Multiple Restaurant Premises

Where a business operates more than one restaurant premises, each premises may participate separately, provided that its own qualifying usage and purchases can be independently verified.

The same invoices or purchasing records may not be used to establish eligibility or usage for more than one premises.

The £500 maximum applies separately to each eligible participating restaurant premises.

12. Product Availability

Free stock is subject to product availability.

Paragon will use reasonable endeavours to provide the relevant like-for-like product.

If the relevant product is unavailable, discontinued or cannot reasonably be supplied, Paragon may provide an equivalent Paragon branded product of reasonably comparable type and value.

No cash alternative is available.

13. Claims and Approval

A restaurant's entitlement to free stock will only arise once Paragon has verified:

  1. the restaurant's eligibility;

  1. the relevant proof of purchase;

  1. the qualifying consecutive month;

  1. the restaurant's verified normal average weekly usage; and

  1. compliance with these terms and conditions.

Submission of invoices or proof of purchase does not, by itself, create an entitlement to free stock.

14. Brand Manager

Each participating restaurant may be managed by a Paragon Brand Manager.

The Brand Manager may assist with the administration of the Promotion, verification of purchasing information and calculation of the restaurant's free stock entitlement.

A Brand Manager does not have authority to vary these terms or guarantee an entitlement outside these terms unless expressly authorised by Paragon.

15. Fraudulent or Misleading Information

Paragon reserves the right to reject a claim or withdraw an entitlement where it reasonably believes that information supplied in connection with the Promotion is false, misleading, fraudulent, duplicated or otherwise improperly submitted.

Paragon may request further evidence before approving any claim.

16. Changes or Withdrawal

Paragon reserves the right to amend, suspend, close or withdraw the Promotion prospectively where reasonably necessary, including for commercial, operational, product availability or other legitimate business reasons.

Where reasonably practicable, Paragon will provide notice of any material change or withdrawal.

Any amendment or withdrawal will not affect a free stock entitlement that has already been verified and approved by Paragon before the effective date of the change or withdrawal, except where fulfilment is prevented by circumstances outside Paragon's reasonable control.

17. No Cash Alternative

The Promotion provides free Paragon branded burger stock only.

There is no cash alternative, refund, credit or cash equivalent in respect of any free stock entitlement.

18. Delivery

Free stock will be supplied in accordance with Paragon's normal delivery arrangements.

Paragon is not responsible for delays caused by circumstances outside its reasonable control.

19. Liability

Nothing in these terms excludes or limits any liability which cannot lawfully be excluded or limited.

Subject to the foregoing, Paragon shall not be liable for any indirect or consequential loss arising from participation in the Promotion or any delay or failure to supply free stock caused by circumstances outside Paragon's reasonable control.

20. Data and Information

Any personal information provided to Paragon in connection with the Promotion will be handled in accordance with Paragon's applicable privacy policy.

Business and purchasing information supplied for the purposes of the Promotion may be used to verify eligibility, calculate usage, administer the Promotion, prevent misuse and maintain appropriate records.

21. General

Participation in the Promotion constitutes acceptance of these terms and conditions.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Paragon's failure to enforce any provision of these terms on any occasion shall not constitute a waiver of its right to enforce that provision subsequently.
